1. Introduction

Welcome to Jumpstrt. These Terms & Conditions ("Terms") govern your access to and use of the Jumpstrt platform, website, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

Please read these Terms carefully. They include important information about your rights, our limitations of liability, and how disputes will be resolved.

2. Definitions

• "Jumpstrt," "we," "us," or "our" refers to Jumpstrt and its affiliates, officers, employees, and agents.
• "User," "you," or "your" refers to any individual or entity that accesses or uses the Services.
• "Validate" refers to our AI-driven idea validation feature, which analyses startup ideas submitted by Users and generates automated outputs.
• "Output" refers to any analysis, report, score, feedback, or other material generated by the Services in response to User submissions.
• "Content" refers to any text, data, images, files, or other materials submitted, uploaded, or provided by a User through the Services.
• "Potential Investor" refers to any individual, fund, venture capital firm, angel investor, or other entity that may have interest in exploring business opportunities with startups.
• "Introduced Investor" refers to a Potential Investor to whom Jumpstrt has made an introduction to a User through its networking services.
• "Introduction" refers to the act of connecting two parties (a User and a Potential Investor) for the purpose of enabling them to independently explore potential business relationships.

3. Eligibility and Accounts

To use the Services, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Services under applicable law

When registering, you agree to provide accurate, current, and complete information; maintain and promptly update your account information; keep your login credentials secure and confidential; and accept responsibility for all activities that occur under your account.

4. The Validate Service and AI Processing

AI-Generated Outputs

The Validate feature uses artificial intelligence to analyse startup ideas and generate Outputs. You acknowledge and agree that:

• Outputs are generated by AI, not humans. Jumpstrt staff do not routinely review, verify, or approve the content of Validate submissions or Outputs.
• Outputs may contain errors, inaccuracies, or omissions. You are solely responsible for independently verifying any information.
• Outputs are for informational purposes only. They do not constitute legal advice, financial advice, investment advice, or professional advice of any kind.

Third-Party AI Providers

To provide the Validate service, Jumpstrt uses third-party AI services, including models and APIs provided by OpenAI. By using the Services, you acknowledge that your Content may be processed by these third-party providers in accordance with their terms and policies.

5. User Content and Intellectual Property

Your Ownership

You retain full ownership of your ideas and Content. Nothing in these Terms transfers ownership of your intellectual property to Jumpstrt. Your startup ideas, business concepts, and any other Content you submit remain yours.

Limited Licence to Jumpstrt

By submitting Content through the Services, you grant Jumpstrt a limited, non-exclusive, worldwide, royalty-free licence to process, analyse, and store your Content solely for the following purposes:

• To provide you with AI-generated analysis and outputs
• To save your validated ideas so you can revisit them later
• To enable you to attach your validation reports when applying to request introductions to investors

We do not use your ideas for any other purpose. Your Content is stored exclusively for your benefit and convenience.

Prohibited Content

You agree not to submit Content that infringes intellectual property rights; is illegal, harmful, or discriminatory; contains malware; or is intended to deceive.

6. Confidentiality and Data Storage

We treat your Content as confidential business information and implement reasonable technical and organisational measures to protect it.

Why We Store Your Ideas

We store your validated ideas solely for your convenience:

• So you can revisit your validation reports anytime
• So you can attach them when applying to request introductions to investors
• We do not analyse, share, sell, or use your stored ideas for any other purpose

Important Acknowledgements

• We cannot guarantee absolute confidentiality. No system is completely secure.
• Your Content is processed by third-party AI providers which may have their own data handling practices.
• We may disclose your Content if required by law or court order.

Sensitive Information Warning

If your idea contains trade secrets or highly confidential information, you should carefully consider whether to submit it through the Services. We recommend avoiding unnecessary confidential details in Validate submissions.

7. Introduction Services and Platform Fee

Nature of Our Service

Jumpstrt operates as a networking platform that may, at its discretion, introduce Users (startup founders) to potential investors. The nature of this service is strictly limited to:

• Making introductions between parties who may have mutual business interests
• Providing a platform for founders to present their business ideas
• Facilitating initial contact and communication between parties

What Jumpstrt Does NOT Do

• We do NOT provide investment advice or recommendations
• We do NOT solicit, facilitate, or process any investment transactions
• We do NOT negotiate terms, valuations, or deal structures
• We do NOT handle, manage, or transfer any funds or securities
• We do NOT guarantee any investment outcome or business relationship

Independent Decision-Making

Any discussions, negotiations, due diligence, or transactions that occur between Users and investors are conducted independently by those parties, without involvement from Jumpstrt. Users and investors are solely responsible for their own decisions and should seek independent legal, financial, and professional advice before entering into any business arrangement.

Platform Introduction Fee (5% Equity)

In consideration for providing introduction and networking services through the Jumpstrt platform, if a User independently enters into a business arrangement with an investor whom Jumpstrt introduced (an "Introduced Investor"), Jumpstrt is entitled to a platform introduction fee. This fee is compensation for our introduction and networking services, not for any investment-related services.

Fee Structure:

• The platform introduction fee is 5% equity (or equivalent mutually agreed structure) in the User's company
• This fee becomes payable only if the User independently chooses to enter into any equity arrangement with an Introduced Investor
• If no business arrangement is formed, no fee is owed
• Attribution period: 24 months from the date of introduction, unless otherwise agreed in writing

Acknowledgement

By using Jumpstrt's introduction services, you acknowledge that: (a) Jumpstrt is providing networking/introduction services only; (b) any investment decisions are made independently by you and the other party; (c) you will conduct your own due diligence and seek independent professional advice; and (d) Jumpstrt bears no responsibility for the outcome of any business arrangement.

8. Non-Discrimination and Fair Access

Jumpstrt is committed to providing fair and equal access to our Services. We do not discriminate against Users on the basis of caste, race, ethnicity, religion, age, gender, sexual orientation, disability, nationality, or any other characteristic protected by applicable law.

We aim to evaluate all Users and ideas based on merit and the quality of submissions.

9. Acceptable Use

You agree to use the Services only for lawful purposes. You agree not to:

• Use the Services in any way that violates applicable law
• Submit false, misleading, or fraudulent information
• Impersonate any person or entity
• Interfere with or disrupt the Services
• Attempt to gain unauthorised access to any part of the Services
• Use automated means to access the Services without permission

10. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.

You acknowledge that AI-generated Outputs may be incomplete, inaccurate, or unsuitable for your needs, and we do not warrant that Outputs will help you obtain investment or achieve any business outcome.

Nothing in these Terms excludes or limits any rights you may have under applicable consumer protection laws that cannot be excluded or limited by contract.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Jumpstrt's total cumulative liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the total amount you have paid to Jumpstrt for the Services in the 12 months preceding the claim, or fifty US dollars (USD $50) if you have not paid any amounts.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, or data; or damages arising from your reliance on any Output.

12. Indemnification

You agree to indemnify, defend, and hold harmless Jumpstrt and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or relating to your breach of these Terms, your Content, your violation of any applicable law, or any fraud or wilful misconduct by you.

13. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice.

Upon termination, your right to access and use the Services will cease immediately, and any equity fee obligations that arose prior to termination will remain in effect.

14. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will update the "Last Updated" date and provide notice through the Services or by email.

Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute shall first be attempted to resolve informally through good faith negotiation. If unsuccessful, disputes shall be resolved through arbitration in accordance with applicable Indian arbitration laws.

16. General Provisions

• Severability: If any provision is held invalid, the remaining provisions continue in effect.
• Waiver: Our failure to enforce any right will not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign them freely.
• Entire Agreement: These Terms constitute the entire agreement between you and Jumpstrt.
